  • Understanding and Agreement: You have read and understood these Terms of Service (ToS) and agree to be bound by them. If you don't agree to these terms, please do not use Campaigns.
  • Eligibility: You affirm that you are at least 18 years old or have reached the age of majority in your jurisdiction. If you're under 18 or the applicable age of majority, you can only use Campaigns under the supervision of a parent or legal guardian who agrees to be bound by these ToS.
  • Compliance with Laws: You will comply with all applicable local, state, national, and international laws, rules, and regulations while using Campaigns.
  • Entire Agreement: These ToS, along with any other policies or guidelines referenced herein, represent the entire agreement between you and Campaigns and supersede any prior agreements or understandings, whether written or oral.

By creating an account, starting a campaign, or engaging in any activity on Campaigns, you signify your acceptance of these ToS. If you do not agree to these terms, you must not access or use our platform.

1.2 Changes to Terms
  • Updates and Modifications: We may update or modify these ToS from time to time. We'll ensure that any changes are reflected here, so you're always aware of the terms that apply to you.

  • Notification: If we make significant changes, we'll notify you through the platform or via email. It's important to review any changes to understand how they might affect you.

  • Continued Use: Your continued use of Campaigns after such notifications means you accept the updated terms. If you disagree with any changes, you should stop using Campaigns immediately.

2. Use of the Platform

2.1 Eligibility
  • Age Requirement: You must be at least 18 years old or the age of majority in your jurisdiction to use Campaigns. Minors under 18 are only permitted to use Campaigns under the supervision of a parent or legal guardian.

  • Compliance: By using Campaigns, you affirm that you will comply with these ToS and all applicable local, state, national, and international laws.

2.2 User Accounts
  • Registration: To access certain features of Campaigns, you may be required to register for an account. You must provide accurate, current, and complete information during the registration process.

  • Account Limitations: You may only create one Campaigns account unless expressly permitted by us. Campaigns reserves the right to suspend or terminate accounts that are created in violation of this term.

2.3 Account Security
  • Responsibility: You are responsible for maintaining the confidentiality of your account credentials. Any actions taken through your account are your responsibility.

  • Unauthorized Access: Notify us immediately if you suspect unauthorized use of your account or any security breaches.

  • Liability: Campaigns will not be liable for any loss or damage arising from unauthorized access to your account.

2.4 User Content
  • Ownership: You retain ownership rights to the content you submit to Campaigns. However, by posting or sharing content, you grant Campaigns a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content in connection with the platform.

  • Accuracy: You are solely responsible for the accuracy, quality, and legality of your content.

  • Rights: You affirm that you have the necessary rights to share any content you post on Campaigns and that sharing such content doesn't violate any third-party rights.

3. Rights and Licenses

3.1 License Grant
  • To You: Campaigns grants you a personal, non-transferable, non-exclusive, revocable, limited license to use and access the platform solely as permitted by these ToS. This license is for the sole purpose of enabling you to use and enjoy the benefits of Campaigns in a manner consistent with these ToS.

  • Restrictions: You may not reverse engineer, modify, reproduce, distribute, or create derivative works based on Campaigns, nor may you rent, lease, sell, transfer, or sublicense the platform to any third party.

3.2 User Content
  • Your Grant to Campaigns: By submitting or posting content to Campaigns, you grant Campaigns a worldwide, non-exclusive, royalty-free, perpetual, irrevocable right and license to use, reproduce, modify, display, distribute, and create derivative works of such content, in any media and for any purpose, unless otherwise specified in these ToS.

  • Your Responsibility: You represent and warrant that you have all rights necessary to grant the rights in this section and that your content does not infringe or violate any third-party rights.

  • Content Removal: Campaigns reserves the right to remove or modify user content for any reason, including user content that Campaigns believes violates these ToS.

3.3 Feedback
  • Welcome Feedback: We value and welcome feedback, comments, and suggestions for improvements to Campaigns ("Feedback").

  • Use of Feedback: You grant to Campaigns a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicensable, and transferable license to use, modify, reproduce, and incorporate your Feedback into any of our products or services, without compensation to you.

  • No Obligation: While we appreciate your feedback, please note that we are not obligated to act on or respond to it.

4. Privacy

4.1 Privacy Policy
  • Your Data: At Campaigns, we respect the privacy of our users. All personal information you provide to us or that we collect about you is governed by our Privacy Policy. By using Campaigns, you consent to the collection, use, and sharing of your personal data as outlined in our Privacy Policy.

  • Updates: We may update our Privacy Policy from time to time. If we make significant changes, we will notify you through the platform or other means. Your continued use of Campaigns after such notice constitutes your consent to the updated Privacy Policy.

4.2 Data Protection
  • Compliance: Campaigns complies with all applicable data protection laws and regulations. We implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk, taking into account technological advancements and the costs of implementation.

  • User Responsibilities: You are responsible for ensuring that any data you provide or upload to Campaigns, including personal data of third parties, complies with all applicable data protection laws and that you have obtained all necessary consents and permissions.

  • Data Breaches: In the event of a data breach that affects your personal data, we will take appropriate measures to address the breach and notify affected users in accordance with applicable laws.

5. Tokens

5.1 System Tokens
  • Token Value: Tokens are virtual items used within the Campaigns platform. They hold no monetary value outside of the platform and cannot be exchanged for real currency.

  • Earning Tokens: Users can earn tokens by participating in campaigns or through other platform-specific activities.

  • Purchasing Tokens: Tokens can also be purchased directly from Campaigns. The price and available packages will be displayed on our platform.

5.2 Custom Tokens
1. Overview

Custom Tokens in Campaigns allow users to create and manage their own branded tokens for use within their campaigns and ecosystems. These tokens are created by converting system tokens and can be customized with unique names, symbols, and images.

2. Creation and Conversion
  • Conversion Basis: Custom tokens are created by converting system tokens at a user-defined parity.
  • Naming and Branding: Users can set a custom name, symbol, and image for their tokens.
  • Value Limits: Custom tokens must adhere to minimum and maximum value limits set between 0.01 and 1000 system tokens.
  • Unique Identifiers: Each issuance of custom tokens will have a unique identifier.
3. Expiry and Usage
  • Expiry Date: Creators can set an expiry date for custom tokens. If no expiry date is set at creation, tokens will not expire.
  • Post-Expiration: Unredeemed tokens will revert to the creator's account and can no longer be modified. After the expiration date, any remaining custom tokens are converted back to system tokens at the original issuance rate..
4. Fees
  • Monthly Service Fee: A monthly service fee applies for the custom token service. This fee is charged to your credit card. The exact fee amount is subject to change and will be communicated in the service details.
  • Redemption Fee: A redemption fee is incurred upon the redemption of custom tokens. This fee is calculated as a percentage of the transaction value or a minimum amount per transaction. The exact fee structure is outlined in the service details.
5. Cancellation Policy
  • Initiating Cancellation: Users can cancel the custom token service at any time through the Custom Tokens Dashboard.
  • Grace Period: A 30-day grace period is provided post-cancellation for token earners to redeem their tokens.
  • Conversion Post-Expiry: After the expiry date, remaining custom tokens are converted back to system tokens at the original issuance rate.
  • Final Settlement: Post-conversion, the account will be settled, and no further monthly fees for the custom token service will be charged.
6. Reactivation

Users wishing to reactivate the custom token service in the future can create new custom tokens, subject to the terms and fees applicable at that time.

7. Compliance and Usage

Users must ensure that their use of custom tokens complies with all applicable laws and regulations. Campaigns reserves the right to modify, suspend, or discontinue the custom token service at any time.

5.3 Tokens Redemption 
  • Redemption Process: Users can redeem tokens earned or acquired through Campaigns for goods or services within the Campaigns platform. The redemption process adheres to the rules and limitations set forth in these Terms of Service and any additional guidelines provided within the platform.
  • Redemption Value: The value of tokens for redemption purposes is determined based on the volume of tokens being redeemed. This value is calculated and displayed to the user during the checkout process. System tokens can be redeemed at all shops/vendors on the Campaigns platform, while custom tokens can only be redeemed at the shop of the issuer.
  • Eligibility for Redemption: Tokens can be redeemed by users with an active account in good standing with Campaigns. Custom tokens may be subject to expiration dates or other conditions as specified at the time of issuance.
  • Vendor Participation: All vendors on the Campaigns platform participate in the token redemption process. The redemption does not affect the vendor's income, as the monetary value of the redeemed tokens is compensated by Campaigns. However, vendors are responsible for paying Stripe fees on both transactions: the payment from the buyer and the payment from Campaigns as a result of system token redemption by the buyer.
  • Transaction Completion: Upon successful redemption, the corresponding number of tokens will be deducted from the user's account and transferred to Campaigns. The monetary value equivalent of the redeemed tokens will be credited to the vendor's account, with applicable Stripe fees deducted.
  • Token Value: Tokens hold a redeemable value within the Campaigns platform, which is applied towards purchases from vendors.
  • Non-Transferability: Tokens are non-transferable between user accounts, except through the mechanism of earning tokens as rewards in campaigns. Direct transfer or sale of tokens between users is not permitted.
  • Disputes: Disputes related to token redemption must be reported to Campaigns customer service within a specified timeframe. Campaigns will investigate and resolve disputes at its sole discretion.
  • Changes to Redemption Terms: Campaigns reserves the right to change the terms of token redemption, including the value, eligibility criteria, and participating vendors, at any time. Changes will be communicated to users through the platform or other official channels.
  • Expiration of Custom Tokens: Custom tokens may have an expiration date set by the issuer. Upon reaching the expiration date, unredeemed custom tokens will revert to the issuer's account. Issuers have the option to extend the expiration date, but not to shorten it.
5.4 Tokens Purchase
  • Payment Methods: We accept various payment methods, including credit cards, debit cards, and other online payment systems. The availability of a payment method may vary based on your location.
  • Transaction Confirmation: Once a purchase is made, a confirmation will be sent to the email address associated with your Campaigns account. Please keep this confirmation for your records.
  • Taxes: Prices listed on the platform do not include any applicable taxes. You are responsible for any applicable taxes related to your purchases.
5.5 Tokens Purchase Refunds
  • Refund Policy: We offer a 30-day money-back guarantee for token purchases. If you're not satisfied, you can request a refund within 30 days of your purchase.
  • Refund Process: To request a refund, contact our support team with your purchase details. Refunds for Gold, Platinum, and Diamond packages will cover transaction fees. For other packages, transaction fees may be deducted from the refund amount.
  • Refund Limitations: Refunds are limited to the amount you paid for the tokens. Any tokens spent before the refund request will be deducted from the refundable amount.

Campaigns offers a unique opportunity for all users to sell products or services, connecting them with a wide audience. Here's what you need to know: 

  • Ease of Selling: Any user can list products or services for sale directly on their profile, without the need for separate vendor registration.
  • Diverse Offerings: From digital content to physical goods, our platform supports a variety of products and services.
  • Token Payments: Accept both system and custom tokens, providing flexible payment options to your customers.
  • Transparency and Fairness: All transactions are clear and straightforward, ensuring vendors are fairly compensated.
  • Community Standards: We maintain a safe and respectful marketplace. It's important to adhere to our guidelines on allowed and prohibited items to ensure a positive experience for all users. Prohibited items include, but are not limited to, illegal substances, weapons, and items that infringe on intellectual property rights.
6.2 Shop Guidelines for Vendors
  • Product Responsibility: As a vendor, you are solely responsible for the quality and compliance of your products. This includes ensuring adherence to material and manufacturing standards, as well as safety and industry regulations.
  • Fulfillment Responsibility: You are responsible for the entire fulfillment process, including packaging, shipping, and customer service. This encompasses prompt and efficient shipping and effective, responsive customer service.
  • Advertising Responsibility: You are responsible for the honesty and ethical practices in your marketing materials. This includes accuracy in product descriptions and claims, and upholding ethical advertising standards.
  • Legal and Ethical Responsibilities: You must comply with legal obligations related to selling products, including warranties, return policies, and managing returns and refunds correctly.
  • Community Interaction: You are expected to engage respectfully with customers and avoid prohibited items and services, maintaining a positive marketplace environment.
  • Understanding the Token System: You can accept system tokens as a form of payment, redeemable at a dollar value set by the platform. The platform ensures vendors are compensated in dollars, regardless of the payment method used by buyers.
  • Vendor-Issued Custom Tokens: You have the option to issue your own custom tokens, which can be used for purchases only in your shop. A redemption fee applies to each transaction involving custom tokens.
  • Financial Transparency: The platform ensures financial transparency in transactions involving both system and custom tokens. Vendors are always compensated in dollars, safeguarding their revenue.
  • Processing Fees: Vendors are subject to Stripe's standard payment processing fees and the platform's service fee. The cumulative impact of these fees should be considered in your pricing strategy.
  • Additional Considerations: Vendors are responsible for inventory control, tax compliance, and dispute resolution. Accurate inventory management and compliance with tax regulations are crucial.
6.3 Shop Guidelines for Buyers
  • Understanding Your Role as a Buyer: As a valued member of the Campaigns community, your experience as a buyer is important to us. These guidelines are designed to help you understand your role and responsibilities when making purchases on our platform.
  • Vendor Responsibility: Please be aware that individual vendors on Campaigns are responsible for fulfilling your orders. Each vendor operates independently, managing their own inventory, shipping, customer service, and dispute resolution.
  • Contacting Vendors: For any queries or concerns related to your purchase, including product quality, shipping delays, or refund requests, please contact the vendor directly. Vendors are best equipped to address specific issues related to their products and services.
  • Acknowledging Vendor Independence: By making a purchase on Campaigns, you acknowledge that while we provide the marketplace, we do not directly oversee individual vendor operations. Each vendor is responsible for complying with our platform standards and legal regulations.
  • Dispute Resolution: In the event of a dispute, we encourage you to first attempt to resolve the issue directly with the vendor. If you are unable to reach a satisfactory resolution, you may contact Campaigns support for assistance. However, our role is primarily to facilitate communication rather than to intervene directly in vendor-buyer disputes.
  • Reviewing Vendor Policies: Before making a purchase, we recommend reviewing the vendor's individual policies, including shipping, returns, and refunds. Understanding these policies can help set clear expectations and reduce the likelihood of misunderstandings.
  • Making Informed Purchases: We encourage you to make informed purchasing decisions on our platform. This includes reviewing product descriptions, vendor ratings, and customer reviews to ensure that the product meets your expectations.
  • Acknowledgement and Agreement: By making a purchase on Campaigns, you agree to these guidelines and acknowledge the independent nature of each vendor on our platform. Your support of our diverse community of sellers is greatly appreciated.

7. Creators and Brands

7.1 Partnership Guidelines
  • Partnership Eligibility: Any user on the Campaigns platform can become a creator or represent a brand. By agreeing to the privacy policy and terms of service, users can sell products, represent their brand, or participate in campaigns.
  • Content Standards: All content produced in partnership with Campaigns must adhere to our Community Guidelines. Content that promotes hate, violence, or discrimination is strictly prohibited.
  • Transparency: Creators and brands must clearly disclose their partnership with their audience. This ensures transparency and trust with the community.
7.2 Revenue and Payments
  • Revenue Allocation:
    • All users on the Campaigns platform can earn tokens by participating in other campaigns or through the sale of products in their shop.
    • Earnings from product sales are processed through Stripe, and Campaigns may apply a fee as part of its revenue model.
  • Payment Request and Timeline: 
    • Users receive their earnings directly through Stripe, minus any applicable Campaigns fees, immediately upon a sale.
  • Withholding or Delaying Payments: 
    • Payments may be withheld or delayed due to discrepancies, disputes, or suspected fraudulent activities. 
    • If a campaign is under review or flagged for potential violations, associated payments may be temporarily held. Users will be notified of any payment delays and the reasons behind them.
  • Platform Fees from Store Sales: 
    • Campaigns may deduct a fee from store sales to cover platform maintenance and other operational costs. The exact fee percentage will be displayed in apps during transactions.
  • Taxes:
    • All users are responsible for any taxes on their respective earnings.
    • Campaigns will not withhold taxes from payments.
    • Users are responsible for managing taxes related to their direct sales on the platform..
7.3 Termination
  • Termination by Campaigns: Campaigns reserves the right to terminate a partnership if a user violates our terms, Community Guidelines, or any other policies.
  • Termination by User: Users can choose to end their partnership with Campaigns by providing written notice. Any ongoing campaigns must be completed or transitioned as per the agreement.
  • Final Payments: Upon termination, any outstanding payments will be settled within 30 days.

8. Verified Account Badge

8.1 Overview

Campaigns offers a Verified Account Badge to eligible users who maintain a custom token subscription. This badge appears as a checkmark next to the user's name, signifying their verified status within the platform.

8.2 Eligibility Criteria

To qualify for the Verified Account Badge, users must meet the following requirements:

  • Active Subscription: Maintain an active custom token subscription.
  • Authenticity: Provide accurate and verifiable information during the account registration process.
  • Compliance: Adhere to all platform policies, including but not limited to the Impersonation Policy and Community Guidelines.
8.3 Application Process

Eligible users will automatically receive the Verified Account Badge upon meeting the criteria, subject to review by the Campaigns verification team.

8.4 Benefits of the Verified Badge
  • Enhanced Credibility: The badge increases the trustworthiness of the user’s profile, fostering greater confidence among participants and visitors.

  • Impersonation Protection: The Verified Badge ensures that only legitimate creators can display the checkmark, safeguarding both the user and their audience from potential fraud and impersonation attempts.
  • Visibility: Verified accounts may receive preferential placement in search results and feature listings, enhancing their visibility on the platform.
8.5 Responsibilities of Verified Users

Users with the Verified Account Badge agree to:

  • Maintain Accuracy: Keep all account information up-to-date and accurate.
  • Protect Verification Status: Ensure that the badge is not used in any misleading or deceptive manner.
  • Report Misuse: Inform Campaigns of any unauthorized use or potential threats to their verified status.
8.6 Revocation of the Verified Badge

Campaigns reserves the right to revoke the Verified Account Badge under the following circumstances:

  • Violation of Terms: Breach of any platform policies or terms outlined in this TOS.
  • Misrepresentation: Providing false or misleading information during the verification process.
  • Inactivity: Failure to maintain an active custom token subscription as required.
  • At Our Discretion: Any other reason deemed appropriate by Campaigns.

Upon revocation, the user will be notified, and the badge will be removed from their profile. Revoked users may reapply for verification upon addressing the underlying issues.

8.7 Disclaimer

Campaigns does not guarantee that all eligible users will receive the Verified Account Badge. The decision to grant verification is at the sole discretion of Campaigns and may be based on factors beyond those explicitly stated in this section.

8.8 Modifications to the Verified Badge Program

Campaigns reserves the right to modify, suspend, or terminate the Verified Account Badge program at any time without prior notice. Users will be informed of significant changes through official communication channels.

9. Brand Reputation and Protection

9.1 Content Creation and Brand Usage
  • Creators are allowed to use a brand's name and select visual identity elements in their campaigns without prior approval from the brand. This is in line with the open and creative spirit of the platform. 
  • However, brands reserve the right to review any campaign that uses their name or identity. If a brand finds content misaligned with their values or potentially damaging to their reputation, they can request modifications or removal.
9.2 Brand Intervention and Content Removal
  • If brands find content objectionable, they can initiate a request for changes or removal. 
  • The platform commits to addressing such brand requests promptly, ensuring minimal disruption and safeguarding the brand's reputation.
9.3 Endorsement and Collaboration
  • If a brand appreciates a creator's campaign, they can choose to endorse it. Endorsement can come with benefits such as increased visibility on the platform, and other collaborative opportunities. 
  • Endorsement signifies a brand's approval and support for a particular campaign, amplifying its reach and impact.

10. Community and Conduct

  • Respectful Interaction: All users, creators, and brands are expected to interact respectfully within the Campaigns platform. Harassment, bullying, or any form of discrimination will not be tolerated.
  • Content Standards: Content shared on Campaigns should be appropriate for a diverse audience. Explicit, harmful, or misleading content is prohibited.
  • Constructive Feedback: While feedback is encouraged, it should be constructive and not intended to harm or belittle others.
  • Promotion and Spam: Unsolicited promotions, spam, or repetitive content that disrupts the community experience are not allowed.
10.2 Reporting Misconduct
  • Reporting Tools: Users can report any content or behavior they believe violates our Privacy Policy terms or Community Guidelines using the in-platform reporting tools.
  • Review Process: Once a report is submitted, our team will review the content or behavior in question. Appropriate actions, including content removal or account suspension, may be taken based on the severity of the violation.
  • Confidentiality: The identity of users who report misconduct will be kept confidential to protect them from potential retaliation.
  • Appeals: If a user believes their content was wrongfully removed or their account was unfairly suspended, they can appeal the decision. Our team will review the appeal and make a final determination.

  • Performance and Results: While Campaigns aims to provide a platform for effective brand and creator collaborations, we cannot guarantee specific outcomes, results, or levels of engagement for any campaign or activity.
  • Platform Availability: We strive to maintain a high uptime for our platform, but occasional technical glitches, maintenance, or other unforeseen issues might cause temporary disruptions.
  • Content Accuracy: While we encourage accuracy and authenticity, Campaigns is not responsible for the truthfulness, accuracy, or reliability of any content posted by users, creators, or brands.
11.2 Limitation of Liability
  • Direct Damages: To the maximum extent permitted by law, Campaigns shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
  • Total Liability: In any case, Campaigns' total liability for any claims under these terms, including for any implied warranties, is limited to the amount you paid us to use the platform, or, if we choose, to supplying you the services again.
  • External Links and Third Parties: Campaigns may contain links to external websites or services. We are not responsible for the content, policies, or practices of those sites or services.

12. Termination

12.1 Account Termination
  • By You: You have the right to terminate or deactivate your account at any time. Simply follow the account deletion process outlined in your account profile.
  • By Campaigns: We reserve the right to suspend or terminate your account, at our sole discretion, if you breach any of the terms of this agreement or if we believe that your actions could harm Campaigns, its users, or third parties.
  • Effects of Termination: Upon termination, all licenses and rights granted to you will cease immediately, and you may lose access to any content, data, or features associated with your account.
12.2 Survival
  • Continued Obligations: Even after your account is terminated, certain obligations outlined in these Terms of Service will continue to apply. This includes, but is not limited to, sections related to intellectual property, warranty disclaimers, indemnification, and limitations of liability.

13. Governing Law

13.1 Jurisdiction
  • Applicable Law: These Terms of Service and any disputes arising out of or related to them or the use of the Campaigns platform will be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada, without giving effect to any choice or conflict of law provision or rule.
  • Consent to Jurisdiction: By using the Campaigns platform, you consent to the personal jurisdiction of the courts located within the Province of Ontario, Canada for the purpose of litigating all such disputes.
13.2 Dispute Resolution
  • Initial Effort to Resolve: Before filing a claim against Campaigns, you agree to try to resolve the dispute informally by contacting support@getcampaigns.com. We'll try to resolve the dispute informally by contacting you through email. If a dispute is not resolved within 30 days of submission, you or Campaigns may bring a formal proceeding.
  • Arbitration Agreement: You and Campaigns agree to resolve any claims relating to these Terms or the platform through final and binding arbitration, except as set forth below. The arbitration will be held in the Province of Ontario, Canada.
  • Exceptions to Agreement: Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Campaigns services, or intellectual property infringement without first engaging in the informal dispute resolution process described above.

14. General

14.1 Entire Agreement
  • Complete Understanding: These Terms of Service, along with any other agreements or terms provided on the Campaigns platform, represent the entire agreement between you and Campaigns regarding your use of the platform. This agreement supersedes and replaces any prior agreements or understandings, whether written or oral, relating to the stated subject matter.
14.2 No Waiver
  • Rights and Remedies: If Campaigns does not enforce a provision of these Terms, it does not constitute a waiver of its right to do so later. Similarly, if Campaigns does waive a violation or breach of any provision, it doesn't mean that Campaigns will waive any subsequent breaches of that provision or any other provision.
14.3 Severability
  • Validity of Provisions: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable. The failure of either party to exercise any right provided for herein shall not be deemed a waiver of any further rights hereunder.
